Terms of Service

1. Agreement to these terms

These Terms of Service (“Terms”) are an agreement between you and Usono LLC (“Usono,” “we,” “us”) and govern your use of the Usono website, dashboard, and screen player (together, the “Service”). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of a business, you agree to them on behalf of that business, and “you” includes that business.

You must be at least 18 years old and able to enter a binding contract to use the Service. Our Privacy Policy explains how we handle personal information.

2. The Service

Usono lets you upload images and videos, arrange them into playlists, and display them on screens you connect to your account. We may add, change, or remove features over time. We will try to give reasonable notice of changes that significantly reduce what a paid plan includes.

3. Accounts and teams

  • Provide accurate information and keep your login credentials secure.
  • You are responsible for activity under your account, including by team members you invite.
  • Admins on a company account can invite, change, and remove team members, and manage billing.
  • Tell us promptly at support@usono.co if you believe your account has been accessed without permission.

4. Your content

You keep all rights to the images, videos, and other content you upload (“Your Content”). You give us a limited license to store, process, resize, and display Your Content only as needed to provide the Service, such as generating previews and showing it on your screens.

You are solely responsible for Your Content and for what is shown on your screens. You confirm that you have the rights needed to use and display Your Content, and that it does not:

  • infringe anyone’s copyright, trademark, privacy, or other rights;
  • break any law, including advertising, consumer protection, or health and safety rules where it is displayed;
  • contain malware or anything designed to harm devices or systems.

We may remove content or suspend screens that we reasonably believe violate these Terms or the law, and we will try to let you know when we do.

When you delete content, we remove it from our systems, but copies already cached on your screens or in browsers may take some time to clear.

5. Acceptable use

You agree not to:

  • access or attempt to access other customers’ accounts, content, or screens;
  • interfere with, overload, scan for vulnerabilities in, or reverse engineer the Service;
  • use the Service to send spam or to display unlawful, deceptive, or hateful content;
  • resell or provide the Service to others without our written permission.

6. Copyright complaints

We respect intellectual property rights. If you believe content shown through the Service infringes your copyright, email support@usono.co with: a description of the work, where the material appears, your contact details, a statement that you have a good-faith belief the use is not authorized, and a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner. We will respond and may remove the material. We will end the accounts of repeat infringers.

7. Plans, billing, and cancellation

  • Paid plans are billed monthly in advance, based on the number of screens you purchase.
  • If we offer a free trial, you will not be charged until it ends. Unless you cancel before the trial ends, your subscription starts and the payment method you provided is charged.
  • Payments are processed by Stripe. We do not store your full card details.
  • If you change the number of screens on your plan, the new price applies right away and is prorated for the rest of the current billing period.
  • You can cancel at any time from your billing settings. Cancellation takes effect at the end of the current billing period, and you keep access until then.
  • Except where required by law, payments are non-refundable and we do not provide refunds for partial months.
  • We may change prices with at least 30 days’ notice. New prices apply from your next billing period after the notice.
  • If a payment fails, we may limit or suspend the Service until your account is brought up to date.

8. Our property and feedback

The Service, including its software, design, logo, and the Usono name, belongs to Usono LLC and is protected by intellectual property laws. These Terms do not give you any right to use our name or logo. If you send us suggestions or feedback, we may use them without any obligation to you.

9. Availability and screens

We work to keep the Service reliable, but it is provided over the internet and depends on your network, devices, and third-party providers. We do not guarantee that the Service or your screens will be uninterrupted or error free, and we are not responsible for the hardware or internet connection you use to run a screen.

10. Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the fullest extent permitted by law, Usono LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim.

We are not liable for any failure or delay caused by events beyond our reasonable control, such as outages of internet or hosting providers.

12. Indemnification

You agree to defend and indemnify Usono LLC against claims, damages, and costs, including reasonable legal fees, arising from Your Content, what you display on your screens, or your violation of these Terms or the law.

13. Suspension and termination

You can stop using the Service and delete your account at any time from your profile settings. We may suspend or end your access if you materially violate these Terms, fail to pay, or if required by law. When an account is deleted, we delete its content as described in our Privacy Policy. Sections that by their nature should survive termination, including 4, 8, 10 through 14, and 16, continue to apply.

14. Governing law

These Terms are governed by the laws of the State of Oregon, without regard to its conflict of law rules. Any dispute will be resolved in the state or federal courts located in Oregon, and both parties consent to their jurisdiction.

15. Changes to these terms

We may update these Terms. If we make material changes, we will notify account admins by email or in the dashboard before they take effect. Continuing to use the Service after changes take effect means you accept them.

16. General

  • If any part of these Terms is found unenforceable, the rest remains in effect.
  • Not enforcing a provision right away does not waive our right to enforce it later.
  • You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition, or sale of assets.
  • These Terms and our Privacy Policy are the entire agreement between you and Usono LLC about the Service.
